SN BioScience is a South Korean biotechnology company focused on the development of differentiated therapeutic platforms for obesity, metabolic diseases, and oncology. Under the MTA, SN BioScience will apply its self-developed Sialic Acid Nucleic Acid (SNA) long-acting drug delivery platform to three innovative peptide drug candidates for metabolic diseases independently developed by the group, including APGP6. The two parties will conduct joint research on the formulation and long-acting delivery of the relevant candidates to evaluate their in vivo performance, pharmacokinetic (PK) characteristics, and further development potential in combination with the platform. They will also explore the potential to enhance product differentiation and development value through the integration of innovative molecules and long-acting delivery technology. This collaboration covers three innovative drug candidates, including APGP6, rather than solely focusing on the routine technical evaluation of a single candidate product. The two parties will simultaneously validate the technical compatibility of the SNA platform with various next-generation innovative peptide assets from the group and explore possibilities for prolonging the duration of action, optimizing the dosing scheme, and enhancing overall product features. The group has long focused on diabetes, obesity, and related metabolic diseases while continually advancing next-generation innovative therapies with independent intellectual property and differentiated potential. The board believes that the product differentiation of next-generation metabolic disease therapies arises not only from molecular-level innovations but also depends on the duration of action, pharmacokinetic characteristics, and convenience of administration. This collaboration revolves around the group's self-innovative drug candidates, with SN BioScience applying its SNA long-acting drug delivery platform to multiple candidates, enabling both parties to more systematically evaluate the potential of combining different innovative peptides with long-acting delivery technology and further expand development pathways for the groups existing innovative assets. The board believes that this collaboration is not an isolated technical validation for a single candidate drug but rather the simultaneous application of the same cutting-edge long-acting delivery platform to various self-innovative assets of the group. The three candidates, including APGP6, will be evaluated concurrently, which is expected to further expand the relevant candidates' opportunities for long-acting formulation, product form, and global development, creating conditions for deeper product collaboration in the future. According to the MTA, if relevant research shows good technical compatibility and further development potential, both parties can discuss licensing, joint development, commercialization, or other forms of strategic cooperation for the relevant candidates. Therefore, this collaboration goes beyond preliminary technical validation and lays the foundation for both parties to further explore deeper product-level and business cooperation. Any subsequent cooperation framework and commercial terms will be negotiated separately by both parties and must be formalized in a separate agreement. The MTA itself does not require either party to establish any such subsequent arrangements.
