ST Yabo (002323.SZ): major shareholder intends to transfer 21.13% of shares without compensation, the actual controller of the company may change.

ST Yabo (002323.SZ) announced that the company's controlling shareholder, Shandong Quanxing Technology Co., Ltd. ("Quanxing Technology"), intends to transfer its 21.13% stake in the company for free to Zaozhuang Caijin Holdings Group Co., Ltd. ("Zaozhuang Caijin") and Shandong Caihui Holdings Group Co., Ltd. The parties have signed a preliminary agreement for the equity transfer, which may result in a change of the company's controlling shareholder and actual controller. Prior to this transaction, Quanxing Technology held a 21.13% stake in the company. Quanxing Technology is a state-owned enterprise controlled by the Zaozhuang State-owned Assets Supervision and Administration Commission ("Zaozhuang SASAC"), with the actual controller being Zaozhuang SASAC. After this transaction, Quanxing Technology will no longer hold any shares in the company. The company's controlling shareholder will become Zaozhuang Caijin and the actual controller will become the Zaozhuang Municipal Finance Bureau.
